Terms of Service
Effective Date: March 1st, 2026
Please read these Terms of Service ("Terms") carefully before using any ExtraHandz products or services. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and ExtraHandz LLC, a Texas limited liability company headquartered in Taylor, Texas ("ExtraHandz," "we," "us," or "our"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
By signing up for, accessing, or using any ExtraHandz service, product, or AI agent — including but not limited to Earl, Jerry, Steve, Gina, and Susan — you agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must immediately discontinue use of all ExtraHandz Services. We reserve the right to update these Terms at any time; your continued use of the Services after notice of any change constitutes acceptance of the revised Terms.
2. Services Provided
ExtraHandz provides a suite of AI-powered automation agents ("Agents") designed to assist small and mid-sized businesses with marketing, social media management, customer messaging, online presence optimization, and related tasks. Current Agents include:
- Earl — Online presence auditing and scoring (provided at no charge to active customers)
- Jerry — Social media content creation, scheduling, and engagement management
- Steve — Your Google Business Assistant
- Gina — Your Advertising & Campaign Agent
- Susan — 24/7 AI-powered answering and customer response service
ExtraHandz reserves the right to modify, add, or discontinue any Agent or feature at any time with reasonable notice to active subscribers. We will make commercially reasonable efforts to provide Service continuity during any transitions.
3. AI Agent Behavior and Authorization
3a. Autonomous Action Authorization
By activating any ExtraHandz Agent, you expressly authorize that Agent to take automated actions on your behalf, which may include:
- Scanning your website, Google Business Profile, and publicly available social media pages (Earl)
- Drafting, scheduling, and publishing posts to your connected Facebook, Instagram, and LinkedIn accounts (Jerry)
- Responding to comments and messages on your behalf using your approved tone and guidelines (Jerry)
- Generating and distributing video content to your connected platforms (Gina)
- Responding to inbound customer calls and messages using AI-generated voice and text (Susan)
You acknowledge that these actions are automated and may be performed without your real-time review. You are responsible for configuring each Agent appropriately and for reviewing Agent activity through your dashboard.
3b. Customer Responsibilities for AI Output
ExtraHandz Agents generate content and take actions based on your provided business information, preferences, and instructions. You acknowledge and agree that:
- You are solely responsible for reviewing and approving content generated on your behalf before it is published, where review options are provided
- You are solely responsible for ensuring that all content posted by any Agent on your behalf complies with applicable laws, platform terms, and industry regulations
- ExtraHandz does not guarantee that AI-generated content will be free of errors, inaccuracies, or inappropriate material
- You will promptly report any Agent behavior that is inaccurate, inappropriate, or inconsistent with your business to support@extrahandz.com
ExtraHandz reserves the right to suspend any Agent that is generating content that violates our policies, applicable law, or the terms of any connected third-party platform.
3c. Limitations of AI Agents
Our Agents are AI-powered tools and are not a substitute for professional legal, financial, medical, or other licensed advice. ExtraHandz makes no representation that Agent-generated content is factually accurate, legally compliant, or suitable for any particular purpose. Results may vary based on your industry, location, and the quality of information you provide.
4. Third-Party Platform Terms
4a. Platform Connections
Our Services integrate with third-party platforms including Meta (Facebook and Instagram), Google, LinkedIn, WhatsApp, and others (collectively, "Third-Party Platforms"). To use certain features, you must connect your accounts on these platforms and authorize ExtraHandz to act on your behalf.
By connecting your Facebook Page or other Third-Party Platform accounts, you authorize ExtraHandz to perform actions on your behalf — such as publishing posts, responding to comments, and accessing Page insights — based solely on your instructions. ExtraHandz does not take independent action on your connected accounts beyond what you have explicitly enabled, and you remain in full control of your Page and connected data at all times.
You represent and warrant that:
- You have the legal right and authority to connect your Third-Party Platform accounts to ExtraHandz
- Your use of ExtraHandz Services complies with the terms of service of all connected Third-Party Platforms
- You will not use ExtraHandz to circumvent, violate, or attempt to violate any Third-Party Platform policies
4b. WhatsApp Delivery
ExtraHandz delivers its primary customer experience through WhatsApp Business messaging. By using our WhatsApp-based interface, you acknowledge that:
- WhatsApp messaging is subject to Meta's WhatsApp Business Policy and Terms of Service
- Message delivery is dependent on WhatsApp infrastructure and is not guaranteed by ExtraHandz
- ExtraHandz may not send marketing messages to your customers via WhatsApp without proper opt-in consent from those recipients
- You are responsible for ensuring that your use of WhatsApp-integrated features complies with all applicable messaging laws including the TCPA and CAN-SPAM Act
4c. Platform Changes and Availability
ExtraHandz has no control over Third-Party Platform APIs, policies, or availability. If a Third-Party Platform restricts, changes, or terminates access to its APIs, ExtraHandz may be unable to provide certain features without liability. We will make commercially reasonable efforts to notify you of material changes to platform integrations.
5. Customer Responsibilities
To use ExtraHandz Services, you agree to:
- Provide accurate, current, and complete business information during onboarding and throughout your subscription
- Maintain the security and confidentiality of your account credentials and WhatsApp access
- Promptly notify ExtraHandz of any unauthorized access to your account at support@extrahandz.com
- Ensure that all business information, logos, images, and other content you provide to ExtraHandz is owned by you or that you have the right to use and authorize us to use it
- Comply with all applicable local, state, federal, and international laws in connection with your use of the Services
- Not use the Services to post or transmit content that is defamatory, harassing, obscene, fraudulent, or in violation of any third party's rights
- Not attempt to reverse engineer, scrape, or extract data from ExtraHandz systems or Agents
6. Content Ownership and Licenses
6a. Your Content
You retain full ownership of all content, data, images, and business information you provide to ExtraHandz ("Your Content"). You grant ExtraHandz a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of delivering the Services to you. This license terminates when your subscription ends, subject to any applicable data retention obligations.
6b. Agent-Generated Content
Content generated by ExtraHandz Agents on your behalf ("Agent Content") is owned by you upon generation, subject to these Terms. ExtraHandz retains a limited license to use anonymized, aggregated, and de-identified Agent Content to train, improve, and develop our AI models and Services. We will never attribute Agent Content to your business or share your identifiable business information without your consent.
6c. ExtraHandz Intellectual Property
ExtraHandz retains all right, title, and interest in and to its platform, AI models, Agents, workflows, software, branding, and all associated intellectual property. Nothing in these Terms grants you any license to ExtraHandz intellectual property except the limited right to use the Services as described herein.
7. Payment and Subscription
7a. Subscription Fees
Services are provided on a recurring monthly subscription basis. Current pricing is as follows:
- Earl (Online Presence Audit) — Included free with any active subscription
- Jerry (Social Media Management) — $99/month
- Steve (Your Google Business Assistant) — $149/month
- Gina (Your Advertising & Campaign Agent) — $249/month
- Susan (24/7 Answering Service) — $249/month add-on
Pricing is subject to change with 30 days written notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.
7b. Billing and Payment
Subscription fees are billed in advance on a monthly basis. Payment is due on the billing date specified in your account. ExtraHandz accepts major credit cards and other payment methods as displayed at checkout. You authorize ExtraHandz to charge your payment method on a recurring basis until you cancel.
7c. Late Payment and Suspension
If payment is not received within 7 days of the due date, ExtraHandz may suspend your Service access with notice. Accounts suspended for non-payment for more than 30 days may be terminated. You remain responsible for all fees accrued prior to suspension or termination.
7d. Refund Policy
ExtraHandz does not provide refunds for partial months of service. If you cancel your subscription, you will retain access to your Services through the end of your current paid billing period. Exceptions may be made at ExtraHandz's sole discretion for documented service outages or technical failures attributable to ExtraHandz.
8. Cancellation and Termination
8a. Customer Cancellation
You may cancel your subscription at any time by providing written notice to support@extrahandz.com or through your account dashboard. Cancellations take effect at the end of your current billing period. No partial refunds are issued for unused time within a billing period.
8b. Termination by ExtraHandz
ExtraHandz may suspend or terminate your access to the Services immediately, with or without notice, if:
- You violate any provision of these Terms
- You fail to pay any amounts due after the applicable grace period
- Your use of the Services violates applicable law or the policies of any connected Third-Party Platform
- We determine, in our sole discretion, that continued provision of Services poses a legal, reputational, or security risk
8c. Effect of Termination
Upon termination, your right to use the Services immediately ceases. ExtraHandz will disconnect all platform integrations associated with your account. You may request an export of Your Content within 30 days of termination; after that period, we may delete your data in accordance with our Privacy Policy. Sections 6, 9, 10, 11, and 12 of these Terms survive termination.
9. Data Privacy and Security
9a. Data Collection and Use
ExtraHandz collects and processes business information, account data, and platform access tokens necessary to deliver the Services. We do not sell your personal information to third parties. Our full data practices are described in our Privacy Policy at extrahandz.com/privacy, which is incorporated into these Terms by reference.
9b. California Privacy Rights (CCPA)
If you are a California resident or operate a business with California customers, you may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to request deletion, and the right to opt out of sale (we do not sell personal information). 9c. Data Security
ExtraHandz implements commercially reasonable technical and organizational security measures to protect your data, including encrypted storage of platform access tokens and secure API communications. However, no system is completely secure and we cannot guarantee absolute security. You are responsible for maintaining the security of your own account credentials.
9d. Third-Party Data Handling
When ExtraHandz accesses your connected Third-Party Platform accounts (Facebook, Google, Instagram, LinkedIn, WhatsApp), it does so using only the permissions required to deliver the Services. Access tokens are stored securely and refreshed automatically. You may revoke platform access at any time through your account settings or through the respective platform's security settings.
10. Limitation of Liability
10a. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. EXTRAHANDZ DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR FREE FROM ERROR.
10b. Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXTRAHANDZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR REPUTATIONAL HARM, EVEN IF EXTRAHANDZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXTRAHANDZ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EXTRAHANDZ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10c. Third-Party Platform Liability
ExtraHandz is not liable for any actions, decisions, penalties, or suspensions by Third-Party Platforms including Meta, Google, LinkedIn, or WhatsApp, even if such outcomes result from actions taken by our Agents on your behalf. You are solely responsible for ensuring that your use of Third-Party Platforms through ExtraHandz complies with each platform's policies.
10d. Indemnification
You agree to indemnify, defend, and hold harmless ExtraHandz, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) content you provide to ExtraHandz; (c) your violation of any Third-Party Platform's terms; or (d) your violation of any applicable law.
11. Dispute Resolution
11a. Informal Resolution
Before initiating any formal dispute proceeding, you agree to contact ExtraHandz at support@extrahandz.com and provide a written description of the dispute. Both parties will make good faith efforts to resolve the dispute informally within 30 days of notice.
11b. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms that is not resolved through informal resolution shall be brought exclusively in the state or federal courts located in Williamson County, Texas, and you hereby consent to personal jurisdiction and venue in such courts.
11c. Class Action Waiver
YOU AND EXTRAHANDZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This waiver is a material inducement for ExtraHandz to provide the Services.
12. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any executed service agreements, constitute the entire agreement between you and ExtraHandz with respect to the Services and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. ExtraHandz's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ExtraHandz may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. ExtraHandz shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, internet outages, Third-Party Platform failures, or government actions.
Modifications. ExtraHandz may modify these Terms at any time. We will provide notice of material changes by updating the Effective Date and, where appropriate, by sending notice to your registered contact information. Your continued use of the Services after the updated Terms take effect constitutes your acceptance.
